3 If it is a business call or you have any doubts that it is
a personal call then respond with: “Mr. Bruce Wallace
has been recently appointed as Managing Director of the
company and will be handling all of Mr. Kutt's calls.”
4 If the caller inquires as to M.K.'s status, respond with:
“Mr. Kutt remains as President of the company, but all
operating authority now resides with Mr. Wallace.”
5 Any further probing on the part of the caller should be
responded to with: “I cannot answer your questions. If
you would direct your questions to Mr. Wallace, he may
be able to answer them.”
6 Transfer call to Bruce or take a message.
For “General Conversation with Outsiders” the document in-
sists on responding only with “Mr. Bruce Wallace has been
recently appointed as Managing Director of the company. Mr.
Kutt remains as President, but all operating authority now res-
ides with Mr. Wallace.” No further information was to be vol-
unteered.
Kutt made no entry in his corporate notebook on 16 July, or
on any of the following five days. On Sunday, 21 July, he wrote:
“Gord Ramer … [he] knew it was in [the] wind. Wanted it to
happen but not at that time.” Kutt ended the entry with a des-
perate plea: “Everyone [is] getting sick of [ MCM /]70 … morale
down. Help.”
The extent of the damage that the 16 July decision to strip Kutt
of his presidential powers would inflict on MCM was so easy to
predict that one may wonder by what sound method of reason-
ing the board of directors arrived at its drastic decision. First,
Kutt's humiliation could not possibly end the power struggle
between him and the outside shareholders, but only lift it to
