Emotions were growing exponentially with every hour ap-
proaching the 16 July meeting. Kutt tried to talk to some of
the managers but couldn't get far. He wrote in his notes that
Ramer definitely felt everything would be resolved on 16 July
and, hopefully, with only a few casualties. In anticipation of the
outcome, Kutt added: “Whatever [the] outcome, some people
will resign & that is unfortunately the case.”
If MCM 's board of directors had held constitutional power to
strip Kutt from his presidency, that would most likely have been
the outcome of the 16 July meeting with managers. Instead,
the board did the second best thing, by stripping the office of
the president of all effective powers in running the company.
The board passed a new by-law amending By-law No. 1 of the
Company. According to the amendment, “the President of the
Company shall only have such duties and responsibilities as are
from time to time assigned to him by the board of directors of
the Company.” During the meeting, the board appointed Wal-
lace as the Managing Director of MCM , with full authority and
responsibility for the operation of the company. The powers and
responsibilities of the newly created position were made subject
to the authority of the board of directors only, and not to the
supervision of the president.
Detailed instructions were dispatched to handle Kutt's dis-
missal. An unsigned MCM document, addressed possibly to
MCM clerical stuff, detailed permissible responses to inquiries
about Kutt. For phone calls:
