The company during the past several months has gone
through considerable upset and turmoil in the managerial
ranks. In May and early June, representation was made
personally to some of the board members about these
problems without the knowledge of all the board mem-
bers. As we understand it, the board in its June meeting
insisted that any internal problems first be dealt with in-
ternally and only if they cannot satisfactorily be resolved
in that way, that they then should be brought to the board.
Attempts at accommodating the situation internally have
been made, but the upset has not gone away and both the
individuals involved and the company are suffering for it.
We request that as a final effort to reach a resolution to
our problems, that the board personally interview each of
the managers, assess our individual and collective griev-
ances and our individual competences (as much as you are
able). After hearing us out, it is our hope that the decision
of the board will then be accepted as the conclusion of
these matters and all the individuals involved will return
to devoting their whole energies to the interests of the
company.
The managers' wish was granted and on 15 July, Kutt sent a
memo informing them about their individual meetings with
the board, which would take place on 16 July, starting at 10:30
a . m ., one half hour per individual. The managers listed in
Kutt's memo were: Mike Day, Ted Edwards, José Laraya, Gord
Ramer, Reg Rea, Morgan Smyth, and Peter Wolfe. Kutt's des-
perate attempt to address the managers before the meeting was
futile. No board member, including Kutt, was allowed to talk
with employees before the 16 July meeting. That did not prevent
employees from organizing further meetings. In his corporate
notes, Kutt entered: “Mike [Day] said BD [Board of Directors]
