To sub-contractor: letter of intent

Dear
Your quotation of the [ insert date ] for [ insert nature of the work or design ]is
acceptable and we intend to enter into a sub-contract with you after the main
contract documents have been satisfactorily executed.
It is not our intention that this letter, taken alone or in conjunction with your
quotation, should form a binding contract. However, we are prepared to
instruct you to [ insert the limited nature of the work or design required ]. If, for any
reason, the project does not proceed or we instruct you to cease work, our
commitment will be strictly limited to payment for the properly executed
work you have completed at our request up to the date of our notification that
the project will not proceed and/or our instruction to you to cease work. The
basis of payment will be the prices in your quotation noted above.
No other work [ substitute 'design' if appropriate ] included in your quotation
must be carried out without a further written order. No further obligation is
placed upon us under any circumstances.
